Terms of Service

By registering for or using FlowZen, you confirm that you are at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher), that you have the legal capacity to enter into a binding agreement, and that you have read, understood, and agree to these Terms.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

FlowZen is a productivity platform that provides AI-assisted focus timers, Google Calendar integration, task management, productivity insights, and a personal AI agent ("ZenAI"). The Service is provided as-is and may be updated, modified, or discontinued at any time with reasonable notice.

During the Beta phase, the Service may experience more frequent updates and temporary instability as we refine the AI models and real-time synchronisation engine. We appreciate your patience and feedback during this period.

• You must provide accurate, current, and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
• We reserve the right to terminate or suspend accounts that provide false information or violate these Terms.
• You may not create multiple accounts to circumvent restrictions, obtain free trial access more than once, or abuse promotional offers.

If we offer a free trial, it will be clearly stated at the time of sign-up. Only one free trial is permitted per person. Upon expiry of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. The no-refund policy applies immediately upon conversion.

Subject to your compliance with these Terms and payment of applicable fees, FlowZen grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business productivity purposes.

You may not:

• Copy, modify, distribute, sell, resell, or sublicense any part of the Service
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Use the Service to build a competing product or service
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
• Remove or alter any proprietary notices or labels on the Service
• Circumvent any technical measures or access controls

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Transmit or facilitate the transmission of spam, unsolicited communications, or harmful content
• Upload, store, or share content that is unlawful, defamatory, obscene, threatening, or that infringes third-party intellectual property rights
• Introduce viruses, malware, or any other malicious or technologically harmful material
• Overload, disable, or impair the Service or its infrastructure ("denial-of-service attacks")
• Attempt to gain unauthorised access to any part of the Service or to other users' accounts
• Use the ZenAI agent to generate content that is illegal, harmful, or violates these Terms
• Misuse the Google Calendar integration to access, alter, or delete calendar data belonging to individuals who have not authorised you to do so

We reserve the right to investigate any suspected violations and suspend or terminate accounts without notice for confirmed violations.

When you connect FlowZen to your Google Calendar, you grant us permission to read, create, update, and delete calendar events on your behalf, as authorised by you within the Google OAuth consent flow. You may revoke this access at any time via your Google Account permissions page.

You are responsible for any calendar changes made by ZenAI. By using ZenAI to interact with your Google Calendar, you confirm that any action ZenAI takes is done with your pre-authorisation and full consent, as described in Section 9 above. FlowZen is not responsible for missed appointments, double bookings, or other calendar-related issues arising from automated changes.

Our use of Google API data complies with the Google API Services User Data Policy including Limited Use requirements.

FlowZen's IP: The Service, including its software, design, trademarks, logos, and content (excluding user-provided data), is owned by FlowZen Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of our IP to you.

Your Data: You retain full ownership of all data you input into the Service, including your tasks, notes, and calendar content. You grant FlowZen a limited, non-exclusive licence to store and process this data solely to provide and improve the Service to you, as described in our Privacy Policy.

Feedback: If you submit feedback or suggestions about the Service, you grant us an irrevocable, perpetual, royalty-free licence to use such feedback without any obligation to compensate you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (a) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (b) ANY DEFECTS WILL BE CORRECTED; (c) THE SERVICE OR ANY CONTENT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (d) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWZEN INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• DAMAGES ARISING FROM SERVICE OUTAGES, INTERRUPTIONS, OR DOWNTIME
• DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS (see Section 9)
• DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY OTHER DAMAGES OR LOSSES, REGARDLESS OF THE CAUSE OF ACTION

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. IN ALL OTHER CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO FLOWZEN IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless FlowZen Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with: (a) your use of or inability to use the Service; (b) your breach of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to the Service.

These Terms are governed by and construed in accordance with applicable law. We encourage you to contact us first to resolve any disputes informally at [email protected].

For users in the European Union: Nothing in these Terms affects your statutory rights under EU consumer protection law, including your right to refer disputes to your national courts or the EU Online Dispute Resolution platform at ec.europa.eu/odr.

The Service integrates with third-party platforms including Google (Calendar API), Nylas, Stripe, and Google Gemini. Your use of these integrations is also subject to the respective third-party terms of service and privacy policies. FlowZen is not responsible for the availability, accuracy, or conduct of third-party services.

FlowZen shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including acts of God, cyberattacks, pandemics, government actions, or failures of third-party infrastructure.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowZen with respect to the Service and supersede all prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 14 days before they take effect, via email or prominent in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
